Introduction
These Terms of Service ("Terms") govern your access to and use of the products and services provided by ModusBrain, Inc. ("ModusBrain", "Company", "we", "our", or "us"), including our website at modusbrain.com, our cloud-based AI operational knowledge platform, APIs, integrations, and any related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. These Terms apply to all visitors, registered users, team members, and organizations that access or use the Service.
Our Privacy Policy also applies to your use of the Service and explains how we collect, protect, and handle your data. Please read it here: Privacy Policy.

About ModusBrain
ModusBrain is an AI-powered platform for operational knowledge management and workflow automation. It enables organizations to capture, structure, search, and act on institutional knowledge — turning scattered information into intelligent, accessible, and automatable systems across teams and tools.
The Service includes features such as knowledge base creation, workflow builders, AI-assisted content generation and retrieval, integration with third-party tools, role-based collaboration, and analytics dashboards. The specific features available to you depend on your subscription plan.
Eligibility and Accounts
You must be at least 18 years old to use the Service. By accessing or using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.
When you create an account, you agree to provide accurate, complete, and current information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately at Genthropic@gmail.com upon becoming aware of any unauthorized access to or use of your account.
If you create an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. In that case, "you" refers to both you as an individual and the organization.
We reserve the right to suspend or terminate accounts that violate these Terms, contain inaccurate information, or engage in behavior that threatens the integrity or security of the Service.
Subscriptions and Billing
ModusBrain offers the Service on both a free and paid subscription basis. Paid subscriptions ("Subscriptions") are billed on a recurring monthly or annual basis ("Billing Cycle"), as selected at checkout. Your Subscription will automatically renew at the end of each Billing Cycle unless you cancel it before the renewal date.
You must provide a valid payment method to subscribe to a paid plan. By providing payment information, you authorize us to charge your payment method for all applicable Subscription fees. You are responsible for ensuring your billing information remains accurate and up to date.
If automatic payment fails, we will issue an electronic invoice and notify you. Failure to pay within the stated deadline may result in suspension or termination of your account.
We use secure third-party payment processors (such as Stripe) to handle all billing. ModusBrain does not store your full payment card details.
Free Trial
We may offer a free trial period for new users ("Free Trial"). If a payment method is required to activate a Free Trial, you will not be charged until the trial period expires. At the end of the Free Trial, if you have not cancelled, you will be automatically charged the applicable Subscription fee for the plan you selected.
ModusBrain reserves the right to modify or cancel any Free Trial offer at any time without prior notice.
Fee Changes
We may change our Subscription fees at any time. We will provide you with reasonable advance notice — typically at least 30 days — before any price increase takes effect. Fee changes will apply at the start of your next Billing Cycle following the notice period. Your continued use of the Service after a fee change constitutes acceptance of the new pricing.
Refunds
Except as required by applicable law, Subscription fees are non-refundable. If you cancel your Subscription, you will retain access to the Service until the end of your current Billing Cycle, but no partial or pro-rated refunds will be issued. If you believe an error has occurred in billing, please contact us within 30 days at Genthropic@gmail.com.
License to Use the Service
Subject to your compliance with these Terms and payment of applicable fees, ModusBrain grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your Subscription term.
You may not: (i) sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Service; (ii) modify or create derivative works of the Service; (iii) reverse engineer, decompile, or disassemble any portion of the Service; (iv) use the Service to build a competing product or service; or (v) access the Service by any means other than through the interfaces provided by ModusBrain.
Your Content and Data
You retain full ownership of all knowledge records, workflows, documents, processes, and other content that you or your organization create or upload to the Service ("Workspace Content"). ModusBrain does not claim any ownership rights over your Workspace Content.
By using the Service, you grant ModusBrain a limited, non-exclusive, worldwide license to process, store, and display your Workspace Content solely for the purpose of providing the Service to you. This license terminates when you delete the content or close your account.
You are solely responsible for the accuracy, legality, and appropriateness of your Workspace Content. You represent and warrant that you have all rights necessary to use and share that content through the Service, and that doing so does not violate any applicable laws or third-party rights.
ModusBrain will never use your Workspace Content to train AI models that benefit other organizations or customers. Your data stays yours.
Prohibited Uses
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable local, national, or international law or regulation.
- Use the Service to store, transmit, or distribute any content that is illegal, harmful, threatening, abusive, defamatory, or infringes on the rights of others.
- Attempt to gain unauthorized access to any part of the Service, other user accounts, or systems connected to the Service.
- Interfere with or disrupt the integrity, performance, or availability of the Service (including through DDoS attacks, excessive automated requests, or the introduction of malware).
- Use the Service to send unsolicited commercial communications (spam).
- Impersonate ModusBrain, our employees, other users, or any person or entity.
- Scrape, crawl, or extract data from the Service using automated tools without our prior written consent.
- Use the Service to process or store data in a way that violates the privacy rights of individuals or breaches applicable data protection laws.
- Build or assist in building products or services that compete with ModusBrain using information derived from the Service.
Third-Party Integrations
ModusBrain allows you to connect your account to a variety of third-party tools and services ("Integrations"), such as communication platforms, databases, project management tools, and data sources. These Integrations are provided for your convenience and are governed by the third party's own terms and privacy policies.
ModusBrain is not responsible for the content, security, or privacy practices of any third-party services. When you enable an Integration, you are authorizing the exchange of data between ModusBrain and that third-party service and accept responsibility for the consequences of that connection.
AI-Powered Features
ModusBrain incorporates artificial intelligence and machine learning features designed to help you manage, retrieve, and act on your organizational knowledge more effectively. These features include but are not limited to: intelligent search, automated workflow suggestions, knowledge gap detection, AI-generated summaries, and process automation recommendations.
AI-generated outputs are provided for informational and productivity purposes and may not always be accurate, complete, or suitable for every situation. You are solely responsible for reviewing, validating, and acting on any AI-generated suggestions. ModusBrain makes no warranties regarding the accuracy or reliability of AI outputs.
We use your Workspace Content to power AI features within your account only. We do not use your data to train shared or foundational AI models accessible to other customers.
Intellectual Property
The Service — including its software, design, user interface, algorithms, AI models, trademarks, trade names, logos, and all associated intellectual property — is and will remain the exclusive property of ModusBrain, Inc. and its licensors. Nothing in these Terms grants you any rights in or to the Service other than the limited license described above.
Our trademarks and brand assets ("ModusBrain" name, logos, and related marks) may not be used in connection with any product, service, or communication without our prior written consent.
Feedback
If you submit feedback, ideas, bug reports, or suggestions regarding the Service ("Feedback"), you grant ModusBrain an irrevocable, perpetual, royalty-free, worldwide license to use that Feedback for any purpose, including improving the Service, without any obligation of compensation or confidentiality to you. You acknowledge that ModusBrain may already have similar ideas under development.
Confidentiality
Each party may have access to confidential information of the other in connection with the Service. You agree not to disclose any non-public information about the Service, our technology, or our business that is designated as confidential. ModusBrain agrees to keep your Workspace Content confidential and not to disclose it except as required to provide the Service or as required by law.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. MODUSBRAIN DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS, THAT ALL ERRORS WILL BE CORRECTED, OR THAT THE SERVICE WILL BE AVAILABLE AT ALL TIMES.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MODUSBRAIN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF MODUSBRAIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL MODUSBRAIN'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE FEES YOU PAID TO MODUSBRAIN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
Indemnification
You agree to indemnify, defend, and hold harmless ModusBrain and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of the Service; (ii) your Workspace Content; (iii) your violation of these Terms; or (iv) your violation of any rights of a third party.
Termination
You may cancel your account at any time through your account settings or by contacting us at Genthropic@gmail.com. Cancellation takes effect at the end of your current Billing Cycle.
ModusBrain may suspend or terminate your account immediately, without prior notice or liability, if you breach these Terms, engage in fraudulent or abusive behavior, or if we are required to do so by law.
Upon termination: (i) your license to use the Service will immediately cease; (ii) you may lose access to your Workspace Content; and (iii) we will handle any remaining data in accordance with our Privacy Policy. We recommend exporting your data before cancelling your account. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitations of liability, indemnification, and governing law — will continue to apply.
Changes to the Service
ModusBrain continuously improves and evolves the Service. We reserve the right to modify, add, or remove features at any time. For significant changes that materially affect the Service you rely on, we will provide reasonable advance notice where possible. We are not liable for any disruption or unavailability of the Service.
Amendments to These Terms
We may update these Terms from time to time. When we do, we will post the revised Terms on this page and update the effective date. For material changes, we will notify you via email or an in-app notice before the changes take effect. Your continued use of the Service after revised Terms are posted constitutes your acceptance of those changes.
Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
Waiver and Severability
No waiver of any term or condition in these Terms shall be deemed a continuing waiver or a waiver of any other term. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy and any additional terms applicable to specific features or subscription plans, constitute the entire agreement between you and ModusBrain regarding the Service and supersede all prior agreements, representations, or understandings.
Acknowledgement
BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE IN FULL AND AGREE TO BE BOUND BY THEM.
